These Terms of Service govern your use of SubTracker (also referred to as "SubShield"), operated by SubTracker, Inc. By creating an account or using our service, you agree to these terms. If you don't agree, please don't use SubTracker.

1. What SubTracker Does

SubTracker is a compliance tracking platform for general contractors. It helps you collect, store, and monitor your subcontractors' insurance certificates, licenses, and safety documents. We extract key expiration dates and send automated alerts so nothing slips through the cracks.

Important: SubTracker is a software tool, not a law firm or insurance provider. Nothing on this platform constitutes legal or insurance advice. Compliance decisions remain your responsibility.

2. Subscription Plans

SubTracker offers the following plans:

  • Free: Limited to 10 subcontractors, basic document storage.
  • Starter ($199/month): Up to 50 subcontractors, automated alerts, COI date extraction.
  • Growth ($399/month): Unlimited subcontractors, all Starter features, priority support.

Subcontractors who receive magic-link invites and upload documents through your portal are always free — they do not need a paid account.

3. Billing and Cancellation

Paid plans are billed monthly. You can cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period — you won't be charged again after that.

4. Acceptable Use

You may use SubTracker for lawful business purposes related to subcontractor compliance management. You agree not to:

  • Upload content you don't have the right to share
  • Use the platform to harass, defraud, or deceive subcontractors
  • Attempt to reverse-engineer or scrape the platform
  • Resell or sublicense access to SubTracker without our written permission

5. Data You Store With Us

When you upload compliance documents (COIs, licenses, safety certs) on behalf of your subcontractors, you remain the data controller for that content. You represent that you have the right to collect and share those documents with us for compliance tracking purposes.

6. Subcontractor Portal Terms

When a subcontractor receives a magic-link invitation and uploads documents through your portal, they agree that:

  • Their documents will be stored and reviewed by the general contractor who invited them
  • Expiration dates will be extracted and used to generate compliance alerts
  • SubTracker will retain their name, email, and uploaded documents per the data retention policy

By uploading documents via the portal, subcontractors consent to these terms.

7. Limitation of Liability

SubTracker is provided "as is." We do our best to keep the service reliable and accurate, but we can't guarantee that every extracted date will be correct or that every alert will fire on time. Verify critical compliance information independently.

To the maximum extent permitted by law, SubTracker's total liability for any claim related to the service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, consequential, or punitive damages.

8. Changes to These Terms

We may update these terms from time to time. If we make a material change, we'll notify you by email or in-app notice at least 14 days before it takes effect. Continued use of SubTracker after that date means you accept the new terms.
